Corporate law in Serbia

Legal support for companies, founders and investors

STOILJKOVIC LAW provides legal support in the field of corporate and company law — from establishing a company and regulating relations between founders, to status changes, M&A transactions, corporate management and daily legal advice to companies.

Corporate law includes legal issues that follow the life of a company — from the establishment and initial arrangement of the ownership structure, through daily operations and decision-making, to investments, sale of shares, status changes and restructuring.

A well-structured corporate framework is not just a formality. It helps clearly regulate relations between founders, directors' powers, decision-making processes, transfer of shares, protection of company interests, and legal certainty in relations with partners, banks, investors, and institutions.

For these reasons, corporate law is not only limited to registering a change with the APR, but to the legal shaping of business so that it follows the realistic goals of the company.

In Short

  • We help domestic and foreign clients in connection with establishing a company in Serbia, changes in APR and corporate decisions.
  • We advise founders, directors, management, investors and companies in everyday business and legal matters.
  • We prepare articles of incorporation, decisions, agreements between founders, documentation for the transfer of shares, status changes and M&A transactions.
  • We pay special attention to practical risks: founder relationships, directors' powers, liability, exit mechanisms and future business growth.

Why is it important to have a corporate law attorney?

Companies today face numerous challenges — from increasingly strict regulatory requirements, through complex mergers and acquisitions, to issues of restructuring, digital transformation and business expansion into new markets.

At the same time, domestic and global markets bring numerous opportunities for growth, investment, joint ventures, and new business models. Precisely for this reason, quality legal advice becomes the factor that makes the difference between stable operations and unforeseen legal, financial, and reputational risks.

A corporate law attorney helps to look at business decisions not in isolation, but through the broader legal structure of the company — ownership relationships, directors' powers, contractual obligations, regulatory requirements, tax consequences and long-term business goals.

Who is the corporate law service intended for?

The service is intended for companies and founders who need clear, practical, and business-oriented legal support. These can be newly formed companies, domestic companies in growth, foreign founders entering the Serbian market, investors acquiring equity, or management teams that need ongoing legal support.

Corporate law is especially important when there are several founders, when the entry of investors is planned, when the company cooperates with large clients or banks, when the director or ownership structure changes, or when it is necessary to arrange the company's internal documentation.

Frequently Asked Questions

What does a corporate lawyer do?

A corporate lawyer advises companies, founders, members of the company, directors and investors in connection with the formation, management, changes in the company, contracts, transactions, business compliance and protection of the interests of the company.

Are corporate law and company law the same?

In practice, both terms are often used for the legal field that deals with companies, their establishment, management, status changes, relations between company members and other issues of company operations.

When is an agreement between the founders necessary?

A contract between the founders is especially useful when several people jointly start a business, when one founder invests capital and the other labor or know-how, when the entry of investors is planned or when it is necessary to arrange in advance the exit from the company, the transfer of shares and the resolution of disputes.

Do you help foreign founders?

Yes. We support foreign individuals and legal entities that want to establish a company in Serbia, acquire equity in an existing company, structure relations with local partners, or organize business operations in Serbia. More information on this topic will be available in a dedicated guide: establishing a company in Serbia for foreign founders.

How long does it take to change data in the APR?

The duration depends on the type of change, the completeness of documentation, and registry procedure. In practice, the key is to prepare documentation correctly before submitting the application, in order to reduce the risk of requests for supplements or rejection. APR has a deadline of 5 business days to decide on a registration filing, and to record the change if legal conditions are met.
